These Terms and Conditions (“Terms”) govern access to and use of SearchBiz, SearchBizForSale.com, and related services provided by [LEGAL ENTITY NAME] (“SearchBiz,” “we,” “us,” or “our”). By accessing or using the service, creating an account, publishing a listing, submitting an enquiry, or purchasing a subscription, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the service.
You must be legally capable of entering a binding agreement and meet any minimum age required in your jurisdiction. If you use SearchBiz for an organization or another person, you represent that you have authority to bind or act for them. You must comply with laws applicable to your account, listing, communications, and proposed transaction.
SearchBiz provides a marketplace where users may publish, discover, and enquire about businesses for sale and related professional services. Unless expressly stated in writing, SearchBiz is not the seller, buyer, broker, agent, lender, appraiser, lawyer, accountant, tax adviser, investment adviser, escrow provider, or party to a transaction between users.
SearchBiz does not guarantee the identity, authority, solvency, conduct, listing information, valuation, availability, legality, quality, or performance of any user, business, or transaction. Moderation or verification measures do not replace independent due diligence.
- Provide accurate, current, and complete registration information.
- Maintain one appropriate account unless SearchBiz authorizes otherwise.
- Keep login credentials confidential and do not permit unauthorized access.
- Notify SearchBiz promptly of suspected compromise or unauthorized activity.
- Do not impersonate another person or misrepresent your role, identity, credentials, or authority.
You are responsible for activity conducted through your account to the extent permitted by law. SearchBiz may require email, identity, business, professional, ownership, or payment verification.
A seller or broker publishing a listing represents and warrants that they are authorized to market the business and that the listing is lawful, accurate in all material respects, not misleading, and kept reasonably current. Listings must use appropriate categories and must not contain prohibited, infringing, fraudulent, defamatory, discriminatory, or unlawfully disclosed information.
Sellers control the permitted public location level for their listing: full business address, city and region, region only, or confidential location. Users must not publish a private residential address, personal contact information, customer information, employee information, trade secrets, or other confidential material without lawful authority and a legitimate reason.
SearchBiz may review, edit for formatting, request evidence, reject, suspend, limit, or remove a listing. SearchBiz is not required to verify every claim and does not endorse a listing merely because it appears on the service.
Buyers must submit genuine enquiries for lawful business-acquisition purposes. Enquiries should be sent through the Request Information or Contact Seller form. Users must not harvest contact details, send spam, solicit unrelated products or services, misuse confidential information, or bypass safety and communication controls.
A seller or broker decides whether to respond, request qualification information, require a confidentiality agreement, disclose additional information, or continue discussions. SearchBiz does not guarantee a response or transaction.
Users may receive non-public information during a potential transaction. They must use it only for the authorized evaluation, protect it appropriately, and comply with any applicable confidentiality agreement and law. Users must not identify a confidential business, contact its employees, customers, suppliers, landlord, or competitors, visit a location deceptively, or disclose sale discussions without authorization.
Each buyer is responsible for independent financial, legal, tax, operational, environmental, regulatory, technical, and commercial due diligence. Each seller is responsible for obtaining professional advice, making required disclosures, and verifying a buyer’s qualifications. Users make transaction decisions at their own risk.
Profile information must be accurate and must not imply licences, credentials, affiliations, transaction history, or endorsements that do not exist. Users are responsible for complying with professional, advertising, licensing, and consumer-protection requirements in each jurisdiction where they operate.
Reviews are attached to eligible seller or broker profiles rather than individual business listings. Reviews must be based on a genuine, verifiable interaction and should address communication, responsiveness, professionalism, or related service conduct. A review must not disclose the identity, precise location, finances, employees, customers, suppliers, operations, or other confidential details of a business for sale.
SearchBiz may require authentication or evidence of interaction; delay publication for moderation; allow a response or report; and reject, remove, restrict, or preserve content where reasonably necessary. Users must not submit fake, manipulated, retaliatory, incentivized, unlawful, or irrelevant reviews. Ratings are independent of paid subscriptions or promotion.
Certain seller, broker, listing, promotion, or other features may require payment. Prices, billing periods, included features, taxes, renewal terms, and cancellation instructions will be shown before purchase.
[INSERT FINAL BILLING RULES: free-trial duration; whether payment details are required; when charges begin; automatic-renewal terms; cancellation deadline; refund policy; listing status after expiry; currency; taxes; and consequences of failed payment.]
You authorize SearchBiz and its payment provider to charge the selected payment method for amounts disclosed at checkout. Except where required by law or stated in the applicable offer, fees are [REFUNDABLE OR NON-REFUNDABLE — SELECT ONE AND DEFINE EXCEPTIONS]. Cancelling a subscription stops future renewal but does not necessarily provide a refund for a current billing period.
Paid promotion may affect placement or visibility only as clearly described and labelled. Payment does not guarantee buyer interest, enquiries, sale, ranking in external search engines, verification, endorsement, or favourable reviews. SearchBiz does not sell ratings or five-star badges.
You must not:
- Use the service for fraud, deception, money laundering, unlawful discrimination, harassment, or other illegal activity.
- Publish a fake, duplicate, unauthorized, sold, unavailable, misleading, or materially incomplete listing.
- Scrape, harvest, copy, index, reverse engineer, probe, overload, disrupt, or access the service by unauthorized automated means.
- Circumvent subscriptions, access controls, moderation, rate limits, security, or account restrictions.
- Upload malware or attempt to gain unauthorized access to accounts, data, systems, or communications.
- Infringe intellectual property, privacy, publicity, confidentiality, or other rights.
- Use information obtained through SearchBiz to spam, resell leads or data, build an unauthorized database, or contact confidential business stakeholders.
- Manipulate reviews, enquiries, search results, engagement, identity, or marketplace activity.
You retain ownership of content you submit, subject to third-party rights. You grant SearchBiz a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, format, adapt for technical display, distribute, and publicly display that content as reasonably necessary to operate, secure, promote, and improve the service. The licence ends when the content is deleted, except for reasonable backup, legal, safety, enforcement, and prior-distribution requirements.
You represent that you own or have all permissions needed for submitted content and that our permitted use will not violate law or third-party rights.
The SearchBiz service, branding, interface, software, design, and original materials are owned by or licensed to SearchBiz and protected by applicable laws. These Terms do not grant you ownership. You may use the service only for its intended marketplace purpose and may not use SearchBiz branding without written permission.
The service may contain links, embedded content, payment services, authentication tools, or other features provided by third parties. SearchBiz is not responsible for third-party services, availability, security, content, or terms. Your use of them is governed by their agreements.
SearchBiz may investigate, limit, suspend, remove, or terminate accounts, listings, content, or access where we reasonably believe there is a violation of these Terms, risk to users or the service, legal requirement, unpaid amount, fraud, abuse, or security concern. Where appropriate, we may provide notice or an opportunity to appeal. You may close your account subject to outstanding obligations and lawful retention requirements.
To the maximum extent permitted by law, SearchBiz is provided on an “as is” and “as available” basis. SearchBiz disclaims warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, and transaction success. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
To the maximum extent permitted by law, define the permitted exclusions, categories of damages, liability cap, consumer-law exceptions, and jurisdiction-specific limitations. The final clause must match subscription pricing, insurance, corporate structure, and the laws that apply to SearchBiz and its users.
Insert a jurisdiction-appropriate indemnity covering user content, listings, transactions, misuse, breach of these Terms, and violation of law or third-party rights, with appropriate notice, defence, settlement, and consumer exceptions.
These Terms are governed by the laws of [PROVINCE OR STATE AND COUNTRY], without regard to conflict-of-law principles, except where mandatory local law provides otherwise.
We may change the service and update these Terms. We will post the revised Terms and update the Last updated date. Where required, we will provide additional notice. Continued use after an update takes effect constitutes acceptance to the extent permitted by law.
If a provision is unenforceable, the remaining provisions continue in effect and the affected provision will be enforced to the maximum lawful extent. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; SearchBiz may assign them as part of a corporate transaction or by operation of law, subject to applicable requirements. These Terms, the Privacy Policy, and any purchase-specific terms form the agreement concerning the service.
